1. Agreement to Terms

By accessing or using FNBD Payment Solutions ("FNBD," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use our payment processing services, API, website, and related services (collectively, the "Service").

2. Description of Service

FNBD provides payment processing services that enable businesses to accept payments from customers in India, Bangladesh, Pakistan, and other supported countries. Our Service includes:

• Payment gateway integration via RESTful API
• Support for multiple local payment methods (UPI, bKash, Nagad, JazzCash, etc.)
• Real-time transaction processing and webhook notifications
• Transaction management dashboard and analytics
• Customer support and technical assistance

3. Account Registration and Security

3.1 Account Requirements

To use our Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your API keys and account credentials
• Notify us immediately of any unauthorized use of your account

3.2 API Key Security

You are responsible for maintaining the confidentiality of your API keys and secrets. You agree not to share, disclose, or expose your API credentials to unauthorized parties. Any activity that occurs under your account is your responsibility.

4. Acceptable Use

You agree not to use the Service:

• For any illegal purpose or in violation of any laws or regulations
• To transmit any malicious code, viruses, or harmful data
• To interfere with or disrupt the Service or servers connected to the Service
• To attempt to gain unauthorized access to any portion of the Service

5. Fees and Payment Terms

Our Service is subject to transaction fees and other charges as specified in your service agreement. You agree to:

• Pay all applicable fees in a timely manner
• Maintain sufficient funds in your account to cover transaction fees
• Authorize us to deduct fees from your account balance
• Accept that fees are non-refundable except as required by law

All fees are displayed in your account dashboard and are subject to change with 30 days' notice.

6. Transaction Processing

6.1 Transaction Authorization

By submitting a transaction through our Service, you represent and warrant that you have the legal right to process the transaction and that all information provided is accurate and complete.

6.2 Transaction Limits

We reserve the right to impose transaction limits, hold funds, or require additional verification for transactions that appear suspicious or exceed certain thresholds.

6.3 Refunds and Chargebacks

Refund policies are determined by you as the merchant. You are responsible for handling customer disputes and chargebacks in accordance with applicable laws and regulations.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by FNBD and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FNBD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

10. Indemnification

You agree to defend, indemnify, and hold harmless FNBD and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FNBD operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
